1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the website, desktop applications, APIs, and AI aggregation services provided by Chatshark (“Company”, “we”, “our”, or “us”). By creating an account, connecting an API key, or using any Chatshark software, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all terms and conditions, you must discontinue using our services immediately.

2. Eligibility & Account Security

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use Chatshark. By opening an account, you represent and warrant that:

• All registration information you submit is accurate, current, and complete.
• You will safeguard your login credentials and personal access tokens against unauthorized use.
• You accept full legal responsibility for any prompt, file upload, script execution, or API request initiated through your credentials.
• You will immediately notify our security team at security@chatshark.co if you discover or suspect any unauthorized breach of your account.

3. Description of Service & AI Routing

Chatshark provides a unified workspace enabling access to top frontier artificial intelligence models, multimodal analysis engines, tool plugins (code interpreters, spreadsheet engines, vector document stores), and collaborative chat interfaces.

We act as an orchestrator and intelligent router across multiple underlying foundation model providers (such as OpenAI, Anthropic, Google DeepMind, and open-source models). Model availability, response latency, context windows, and pricing tier capabilities may change from time to time as underlying providers update their systems.

4. Acceptable Use & Prohibited Conduct

You agree to comply with all applicable local, national, and international laws, regulations, and third-party terms. You strictly agree not to:

• Use Chatshark to develop, generate, or propagate malware, ransomware, exploits, or cyberweapons.
• Attempt to jailbreak, bypass safety evaluations, or intentionally coax models into producing non-consensual sexual content, hate speech, violent extremism, or instructions for illegal weapons and hazardous materials.
• Reverse engineer, decompile, extract proprietary weights, or scrape our platform APIs without written authorization.
• Engage in denial-of-service attacks, automated rate-limit abuse, or account-sharing schemes that circumvent license restrictions.
• Misrepresent AI-generated content as human-verified medical diagnosis, legal counsel, or certified engineering analysis where liability could arise.

5. Ownership & Intellectual Property

Your Content & Prompts: As between you and Chatshark, you retain all ownership rights in the input queries, files, and proprietary data you provide to the service. We do not claim ownership of your inputs.

AI Outputs: Subject to your compliance with these Terms, Chatshark conveys to you all its rights, title, and interest in the outputs generated specifically for your sessions. You acknowledge that AI models may generate identical or substantially similar outputs for other users who submit similar prompts.

Chatshark IP: The Chatshark name, logo, custom user interface, frontend code, animations, documentation, and design assets remain the exclusive intellectual property of Chatshark and its licensors.

6. Subscriptions, Billing & Cancellations

Certain features and premium model tiers require a paid subscription or usage credit balance.

• Billing Cycles: Paid plans are billed in advance on a recurring monthly or annual basis depending on your selection.
• Automatic Renewal: Your subscription renews automatically unless canceled prior to the end of your billing cycle via your account settings.
• Refunds: Payments are non-refundable except where required by mandatory local consumer protection law or explicit money-back guarantees on select plans.
• Taxes: All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities.

7. Disclaimers & Accuracy of AI Outputs

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Artificial intelligence systems are probabilistic and can occasionally produce inaccurate, misleading, outdated, or hallucinated outputs. You assume sole responsibility for validating critical factual claims, code snippets, financial formulas, and business analyses generated through Chatshark before relying on them for operational or strategic decisions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHATSHARK, ITS DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CHATSHARK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination & Account Suspension

We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably determine that you have violated these Terms, engaged in fraudulent billing, or posed a security risk to the platform or other users. You may close your account at any time through the workspace settings.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through confidential, binding individual arbitration administered by JAMS or AAA, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
